Acceptance of Terms
By accessing or using TopoLink AI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms constitute a legally binding agreement between you and TopoLink AI Inc.
Service Description and Availability
TopoLink AI provides AI-powered topology visualization and infrastructure management services through our cloud-based platform. Our services include automated discovery, real-time mapping, analytics, and integration capabilities for enterprise IT environments. We strive to maintain high availability but do not guarantee uninterrupted service and reserve the right to modify, suspend, or discontinue any aspect of our services at any time.
Account Registration and Security
To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that violate these terms.
Acceptable Use and Restrictions
You may use our services only for lawful purposes and in accordance with these terms. You agree not to use our services to transmit, store, or process any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. You may not attempt to gain unauthorized access to our systems, interfere with our services, or use our platform to attack or compromise other systems or networks.
Data Ownership and License
You retain ownership of all data you upload to or generate through our services. By using our services, you grant us a limited, non-exclusive license to access, process, and analyze your data solely for the purpose of providing our services to you. We may use aggregated, anonymized data for research and development purposes to improve our platform and services.
Intellectual Property Rights
Our services, including all software, algorithms, designs, text, graphics, and other content, are protected by intellectual property laws and are the exclusive property of TopoLink AI or our licensors. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our software.
Payment Terms and Billing
Paid services are billed in advance on a subscription basis. You agree to pay all fees associated with your selected service plan. Fees are non-refundable except as expressly stated in these terms or required by law. We reserve the right to change our pricing with 30 days' notice. Failure to pay fees may result in suspension or termination of your account.
Service Level Agreement
We commit to maintaining 99.9% uptime for our core services, measured monthly. If we fail to meet this commitment, you may be eligible for service credits as outlined in our SLA documentation. Our SLA does not cover downtime caused by factors outside our control, including but not limited to internet connectivity issues, third-party service failures, or scheduled maintenance.
Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. We implement appropriate technical and organizational measures to protect your data and comply with applicable data protection laws, including GDPR and CCPA.
Limitation of Liability
To the maximum extent permitted by law, TopoLink AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claims arising from these terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless TopoLink AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party. This indemnification obligation will survive termination of these terms.
Termination and Suspension
Either party may terminate this agreement at any time with or without cause. We may suspend or terminate your access to our services immediately if you violate these terms or if we reasonably believe such action is necessary to protect our services or other users. Upon termination, your right to use our services will cease immediately, and we may delete your account and data after a reasonable notice period.
Dispute Resolution and Governing Law
These terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these terms or your use of our services will be resolved through binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in court. You waive any right to participate in class action lawsuits or class-wide arbitration.
Export Controls and Compliance
Our services may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and not to export, re-export, or transfer our services to prohibited countries, entities, or individuals. You represent that you are not located in a country subject to embargo or designated as a "terrorist supporting" country by applicable governments.
Force Majeure
Neither party will be liable for any failure or delay in performance under these terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions. If such circumstances continue for more than 60 days, either party may terminate this agreement with written notice.
Modifications to Terms
We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms. If you do not agree to the modifications, you must stop using our services.
